Agreement to terms

These Terms of Service ("Terms") govern your use of EcoScribe ("the App"), provided by EcoScribe Inc. ("EcoScribe", "we", "us"). These Terms apply to all users, including Free, Pro, and Team subscribers.

License to use EcoScribe

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use EcoScribe on Mac devices you own or control, solely for your personal or internal business purposes.

Requirements

• macOS 14 (Sonoma) or later
• An Apple Silicon Mac (M1 or later) — Intel Macs are not supported
• A valid EcoScribe account for Pro and Team features

Restrictions

You may not:

• Copy, modify, or distribute the App or any portion of it
• Reverse engineer, decompile, or attempt to extract source code
• Sell, sublicense, or transfer your license to another party
• Use the App to build a competing product or service
• Remove or alter any proprietary notices in the App

Subscriptions & billing

Plans

EcoScribe offers three plans: Free, Pro ($9/month billed yearly), and Team ($14/seat/month billed yearly). Prices are in USD and subject to change with 30 days' notice.

Billing

Pro and Team subscriptions are billed in advance on a recurring basis. Payment is processed by Stripe. By subscribing, you authorise EcoScribe to charge your payment method on each renewal date.

Cancellation

You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access until then. We do not provide refunds for partial periods, except where required by applicable law.

Free tier

The Free plan is available indefinitely with no credit card required. We reserve the right to modify Free plan limits with 30 days' notice.

Team plan

Team admins are responsible for managing seats, billing, and compliance for their organisation. Adding a seat mid-cycle is prorated to the next renewal date.

Acceptable use

You agree to use EcoScribe only for lawful purposes. You may not use the App to:

• Record or transcribe conversations without the consent of all parties, where required by applicable law
• Generate or distribute illegal, defamatory, or harassing content
• Violate any applicable local, national, or international law or regulation
• Circumvent any security or access-control feature of the App
• Interfere with other users' access to the App or our infrastructure

Violation of these terms may result in immediate termination of your account without refund.

Intellectual property

EcoScribe and all related trademarks, logos, software, and content are the exclusive property of EcoScribe Inc. and are protected by copyright, trademark, and other intellectual property laws.

Your transcripts and dictated content belong to you. We claim no ownership over content you create using the App. Because all processing is on-device, we have no access to or copies of your content.

Disclaimer of warranties

EcoScribe is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the App will be uninterrupted, error-free, or completely accurate in its transcriptions. Voice recognition is an imperfect technology — always review output before relying on it for critical purposes.

Limitation of liability

To the maximum extent permitted by applicable law, EcoScribe Inc. and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) $50 USD.

Termination

You may stop using EcoScribe and delete your account at any time. We may suspend or terminate your account if you violate these Terms, with or without notice depending on the severity of the violation.

Upon termination, your license to use the App ends. Sections covering intellectual property, disclaimer, limitation of liability, and governing law survive termination.

Governing law

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-law provisions. Any disputes shall be resolved in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction there.

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.
